If the other guy has already used the code, and associated it with his Battlenet account then it's not going to be possible to unassociate it from his and associate it with yours.
If the other guy hasn't used the code, then once you've bought the code from him you'd register it against your Battlenet account and the game is yours.
The main potential issue I'd see with this is if he sells you a code and then you find it's already been used on someone else's Battlenet account.
If the other guy is someone you trust / know, then tell him you'll pay him as soon as you've registered the code against your Battlenet account (therefore confirming it hasn't been used before). If he doesn't want to do that, then walk away from the deal, no matter how 'hot' it is.
